Terms and Conditions

1. Agreement

By accessing vyora.ai or using any of our services, you agree to these Terms and Conditions. If you do not agree, please do not use our services. These terms constitute an agreement between you and Vyora AI Labs LLP (LLPIN: ACZ-8259, GSTIN: 09ABCFV4898A1ZV), a Limited Liability Partnership incorporated in India, registered office: 375/10B, Vrindavan Yojna, R.B. Road, Ghazipur, Lucknow, Uttar Pradesh 226016, India ("Vyora", "we", "us", "our").

2. Services

Vyora provides AI automation, voice agent setup, and campaign management services to businesses. Specific deliverables and timelines are agreed upon separately with each client.

3. Client Responsibilities

Clients using our voice calling services are solely responsible for:

• Ensuring they have obtained proper prior consent from the individuals they are calling, appropriate to the jurisdiction being called
• India: compliance with TRAI regulations, the Telecom Commercial Communications Customer Preference Regulations (TCCCPR), and the National Do Not Call (NDNC) registry
• United States: compliance with the Telephone Consumer Protection Act (TCPA), the National Do Not Call Registry, and any state-level call-recording consent laws (several US states require the consent of all parties before a call is recorded)
• Any other jurisdiction: compliance with that jurisdiction's telemarketing, robocall, consumer-protection, and call-recording consent laws
• Any content or messaging delivered via our platform
• Phone numbers made available through Vyora's platform may be registered in Vyora's name (or a regional telephony partner's name) with our underlying telephony providers. Clients accept this arrangement and acknowledge that Vyora bears no liability for regulatory consequences arising from the client's use of such numbers

Clients agree to indemnify and hold Vyora harmless from any claims, penalties, or regulatory actions (including those brought by TRAI, the FCC/FTC, or any other telecom or consumer-protection authority) arising from the client's use of our platform or calling services.

4. Prohibited Use

You may not use our services to:

• Contact individuals without their consent
• Send spam or unsolicited commercial communications
• Violate any applicable law or regulation
• Impersonate any person or entity

Vyora reserves the right to immediately suspend or terminate any account, without prior notice, if we determine — at our sole discretion — that the account is being used in violation of these terms, applicable law, or in a manner that may expose Vyora or its telephony partners to regulatory risk or reputational harm.

5. Intellectual Property

All platform code, designs, and content created by Vyora remain our intellectual property. Client data remains the property of the respective client.

6. Billing, Currency and International Customers

Vyora is an Indian company operating and serving customers globally. Plan prices are displayed in either INR or USD depending on your billing region:

• INR customers are billed via Razorpay
• USD (international) customers are billed via our designated international payment partner
• Credits are the underlying unit of service regardless of the currency billed — see our Refund Policy for cancellation and refund terms

7. Limitation of Liability

Vyora's liability is limited to the amount paid by the client for the specific service in question. We are not liable for indirect, incidental, or consequential damages.

8. Confidentiality

We treat all client data and business information as confidential and will not disclose it to third parties without consent, except as required by law.

9. Termination

Either party may terminate the service engagement with reasonable notice. Upon termination, client data will be handled as per agreed data retention terms.

10. Governing Law

These terms are governed by the laws of India, and any disputes shall be subject to the jurisdiction of competent courts in India — this applies to all customers regardless of their location or billing currency.

11. Changes

We reserve the right to update these terms. Continued use of our services after changes constitutes acceptance.
